Hi,
You might want to check on your BIOS, you might need an UPDATE for your BIOS setting.

This is a message i got off this site a few days ago. It helped identify the problem my roomate was having. "Right click on My Computer, click Properties the Advanced. Under Startup and Recovery, click Setting. Under System Failure unclick the automatic restart option. Now reboot. When XP encounters the offending driver, you will get a blue screen identifying the driver or problem file. Delete or uninstall the conflict and you will be okay."

Also, make sure the computer power management is on as well as for the bios as in the advance tab of your display propreties.

I had this problem initially, then I realised that my mobo has this Auto wake function (if it detects LAN or timing etc).
Check if you have these settings enabled, disenable them.

Actually the solution to this problem may be found on the Roxio Site, not sure were i saw it but it involves the UPDATE and there is a fix for it.. This inability to shut down (causing restart) is involved with Roxio software update (to repeat).... Honest
