change from windows 98 to XP.

No its not at all just start your computer up pop the XP disk in say you'd like to upgrade and then click next then it will talk you through the rest

You say you have only 64 mb of RAM and I am assuming your processing speed is not that great.
Loading XP will require more than you have or if it will install slow your Laptop to a virtual stand still. My advise is to stick with 98. If however you have adequate processing power a RAM upgrade is recommended but check the RAM capacity of your Laptop. I own a Dell Latitude PII 300 with 128mb RAM and that is the maximum the machine will handle.

You don't indicate your CPU speed and only 64MB of RAM need at least 256 better w. 512.

Pop in the XP CD and run the compatibility check - in my experience, even if it does scrape the minimum requirements the laptop will get creased as soon as you try and run anything on it that makes the CPU or memory earn it's money.
I've done that myself - it runs, yes, but it's thrashing the hard disk all the time and is slow even opening and closing items on the desktop.
