C000021A Stop fatal system error

OS: windows XP
CPU/Ram: Pentium 4, 256mg

We downloaded the IE 6.1 and this is what happen: STOP: C000021A (fatal system error) the session system manager initlaization system process teminated unexpectedely iwth a status of OXC0000263 (0X00000000 0X00000000) system shut down. We got the big blue screen. We do not have any of the original startup disk, they were lost in the move, Micosoft is no help, DELL is NOT any help, Can not start in safe mode, Microsoft has confimed that this is a problem in the Micorsoft products. OK then they need to advise us how to fix it, or were to take to get fixed. Any helpful info would be greatly appriciated

That doesn't work either. It is imposible to get to talk to someone at DELL or MICROSOFT

where did you get the computer??
is it under warranty??
do you have a best buy store near you??
they have excellent repair.
if your close to eastern oklahoma, i can fix it.

I think it is under warranty, He hasn't had it that long. We even tried the start up disk from a frined of mine. She has a Dell with the same XP, wouldn't work, I think my friend is ready to toss it out the window. What is the code OXC0000263 ??
E-mail me if you like, if you are close to Tulsa, that is were my friend lives. Im sure he would love it if you could fix it. He is lost with out it..:)
I did see this in a search that this is called the "BLUE SCREEN OF DEATH" I didn't tell him that.
