BSOD +d dial-up

Specs: Windows XP SP3
basically i have a problem where, when i try to connect to a dial-up connection, 4/5 times xp will throw a 0xD1 stop code or 'DRIVER_IRQL_NOT_LESS_OR_EQUAL' and force a reboot. it doesen't specify a file when it does either.

this is happening on an acer notebook.
the modem/ac97 sound/ethernet nic are all onboard, and all share IRQ 21.
again, system is running win xp sp3, other specs include:
-1.6ghz celeron mobile type processor
-512mb ram (1 dimm)

again, this error will only happen randomly 4/5 times. the last 1/5 it will work as expected.

... try reinstalling modem driver maybe updated(?)
