Jason,
It sounds like you have a driver issue..# 1 - reboot your system and tap the F8 key upon startup and select LAST KNOW GOOD CONFIGURATION........If this doesnt help?
Step #2-repair the windows xp install by....
Repair the Windows XP installation. To do this, follow these steps:
1. Disable any antivirus program and BIOS-level antivirus protection. For help, see the relevant software manual or online help.
2. Make sure that the CD-ROM or DVD-ROM drive is the first priority startup device. See your computer documentation for information about how to do this.
3. Insert the Windows XP CD into the CD-ROM or DVD-ROM drive, and then restart your computer.
4. When the instruction to "Press any key to boot from CD" appears, press a key. Your computer starts from the Windows XP CD.
5. When the computer starts from the CD, the system verifies your hardware, and then prompts you to select one of the following options:
• To set up Windows XP now, press ENTER.
• To repair a Windows XP installation using Recovery Console, press R.
• To quit Setup without installing Windows XP, press F3.
6. Press ENTER.
7. Press F8 to accept the Licensing Agreement.
8. A box lists your current Windows XP installation, and then the computer prompts you to select one of the following options:
• To repair the selected Windows XP installation, press R.
• To continue installing a fresh copy of Windows XP without repairing, press ESC.
9. Press R. After you repair Windows XP, you may have to reactivate Windows XP if you changed some hardware. If step #2 doesnt help?Try step #3.....
Step# 3-Visit microsoft updates and see if there are any updates to hardware,or visit your hardware manufacturers for updates to hardware.TAKE CARE!

Base upon your information, the failing module is at ntoskrnl.exe which is not culprit.
Whenever windows crashes, a system event log 1001 and minidump is written.
Control Panel -> System Adminstrative Tools -> Event Viewer -> System -> Record 1001 (ie sysddump). Copy the content of the record 1001 log into clipboard. Paste them back here.
I want to display your device driver
It is extremely helpful if I know the device configuration of your windows. Most of the blue screen is caused display card driver.
Run command msinfo32 and navigate to Hardware Resources > IRQs. Click anywhere in the right panel and then press CTRL-A and then CTRL-C. You have copied that data to the clipboard. Paste that data and repost.
Hope it can help you

just one minidump...i was hoping is was O/S related but ive reformated many times, that includes deleting partitions and making new ones... and nothin changed and still comes up with this error.
anyone know where to point?

If your PC has only one occurence, it is not justify to fix it unless it is a very simple problem. Base upon your information, if fails at ntoskrnl.exe which is not the culprit and the caller of kernel service is the culprit. You need a full dump to determine the root cause. Do you have a full dump? If no, I don't think you can find out the root cause. Solve windows problen is very difficult because diagnostic information is very limited.
I will have spend time to resolve a windows problem which occurs more than five times.

it should happen again within a week...seems when i use cpu power it my be the cause...like watching flash and videos together etc. i thought it was overheating but i guess not
