You can turn it off with TweakUI (part of the Powertoys for XP package). If you have the Pro Edition you can also run GPEDIT.MSC and turn it off from there.

Disabling the AutoPlay Feature in Windows 95 and Windows NT 4.0 General Information

AutoPlay is a Windows 95 and NT 4.0 feature that starts a CD-ROM automatically when you insert it into your CD-ROM drive. If you don't want a CD to start automatically, you can disable AutoPlay, either temporarily or permanently.

Temporarily Disabling AutoPlay
To temporarily disable AutoPlay in Windows 95 and Windows NT 4.0:
1. Hold down the Shift key while you insert your CD into the CD-ROM drive. Keep the Shift key held down for about 10 seconds. If you release it too soon, AutoPlay will start your CD.
2. Right -click on the CD-ROM drive in Windows Explorer or the My Computer window, then choose Explore from the pop-up menu.

NOTE: If you double-click on the CD in Windows Explorer or the My Computer window, AutoPlay will start the CD.

Permanently Disabling AutoPlay
To permanently disable AutoPlay in Windows NT 4.0, edit the Registry:
