I purchased the upgrade version of Vista Ultimate, a while ago. I want to transfer the license to another machine, is there a way to de-activate the one currently installed, to prove that I am infact only running Vista on one machine.

All questions related to Vista product keys & activations are still a thorn in our eyes. The only ones who are qualified to answer questions like this are M$ army of lawyers specializing in Vista EULA. Contact them to find out (you most likely will be asked to do lot of explainings).

Since you have a retail Vista ( Upgrade ) installation, you should have the right to move Vista to another M/C. I suggest you install this upgrade Vista in the other M/C and try to activate. If need arises, you make an explanation of what you are doing.

Think about it this way: Your first M/C with Vista irreparably broke down and you built a new M/C. Now you will of course not scrap your upgrade Vista together with the M/C. You will use it.

But to install upgrade Vista on the new M/C, you first have to install another Windows whose version is upgradeable to Vista.

But if your intention is to use both upgrade Vista - you can use upgrade Vista alone to make a clean installation without a need for an older upgradeable version of Windows - and your previous version of Windows over which you made the upgrade together at the same time, I think this is illegal.

I've done this already. Just remove it from your old machine, install it to the new and try to activate. When the activation fails it will give you the Microsoft number to call. Give them a call and let them know what you are doing, and they'll give you a new activation number

Further to my post #2 above, please see the following documentation from Microsoft about license transfer of Vista. The documentation reads, there is no limit to transferring "Retail" Vista license from one computer to another and to another ...:

Please just look at the answer to the last question down the page " Am I allowed to transfer my software ... ".

This is a change made effective after the Vista debut in January.

Hope the above further clarifies the situation.
