If the motherboard/chipset on the replacement is similar to the one that was swapped out, then there is no need for a reinstall.

"does the laptop have to be formatted" no you can not format a Laptop, but hard drives are formattable. As you have a Medion you will need the same mobo, so Vista will not feel that you have upgraded the Laptop and ask for a re-activation!
