HERE is M$'s FYI Upgrade Planning for Windows Vista.

In short:

(1) XP Home Edition is upgradable to all Vista editions.

(2) XP Pro has a mixed options.

(3) XP 64-bit & W2K all requires clean instal.

I have successfully done an upgrade from XP Pro with minimum problems. Final version is open to discussion and the whims of MS.

Well, Vista build 5472 is the first one to allow in-place upgrading directly from XP and also the first to include the nifty Upgrade Advisor Beta tool - so user don't have to install Vista to evaluate their system's capability to run the OS.
