I am getting ready to go to active directory and install a new PDC with windows 2k3. I was told that windows won't let you demote a BDC to a member server. Is that right? Couldn't i just remove it from the domain and add it back in as a member server?

Usual recommended procedure is to install the new hardware as a bdc into the present NT domain. Promote it to PDC then upgrade it to 03. This preserves the SAM and you don't have to recreate all your users again.
To answer your question NT has not utility to demote to member server. There is a 3rd party product that can called Upromote that will do it.
But there really isn't much point in NT with a Active Directory domain. Might just want to upgrade ram and install W2K server. And no you can't just remove it from the domain and add it. It is a bdc which is done as an install. Only a reinstall will change NT
