winmgmt and hlpcntr

OS: Windows ME
CPU/Ram: P4/256 Meg

If I leave my computer running more than a couple minutes without doing anything, I notice that it begins using %100 of it's processor resource. It is apparently due to winmgmt because when I use ctl+alt+del to turn off winmgmt and numerous hlpcntr's, my PC returns to low CPU status.
What is causing that, and how can I fix it?
