shut down / restart not working

Do you have a sound file assigned to "exit windows"?
If not go to start>settings>control panel>sounds and multimedia (first tab) and scroll through the list till you find "exit windows" and assign a sound file (click apply and okay out of the applet), if there is already one assigned, change it, the sound file may be corrupt.
