ndis2 driver

after reformating hard drive and loading windows 98 sucessfully and also sucessfully installing internal modem with latest driver I then tried to install sound card (Opti Plug-N-play Sound system) with latest drivers and get a "!" in yellow dot for the ndis2 network adapter as shown in the Device Manager. The computer says the sound card was installed but no devices show up in the Device Manager. During bootup I also get messages like "network transport driver failed to load". When I try to reload the driver for Ndis2 the computer says that the latest driver is already loaded even after I insert the win98 disk.... Is my sound card defective? how do I fix the ndis2 problem? any advice would be appreciated. thanks, Joe
