I've checked the programs, they are:
OEMRUNONCE
LTSMMSG
LOADPOWERPROFILE
SSPPSRV
Scan registry
systray
*statemgr
PCHealthI only have 2 icons on the taskbar and my memory is 3.11Gb used and 6.35Gb available.
I still received the low mem message when I logged on....I really appreciate all the help so far, what am I to do?

do you only get this message when you log on to the internet?
or do you get it periodically... after running a couple of different programs?
do this:
reboot.
first thing... take a look at your system resources.
right click on my computer and choose properites.
go to the perfomance tab.
how many of your system resources are free when you boot up?now... connect to the net.
check your resources again.
how many are free now?do you use AOL, Compuserve, or one of the other ISPs that provide you with software of their own? if you do... which one and which version?
also... go to start>>run>>msconfig>>general tap>>advanced
there shouldn't be anything checked there... is there?you have plenty of RAM to handle quite a few applications being open... just wondering if one of them is not clearing itself out of memory once you close it. so check your system resources periodically and see if something is not releasing when you are done with the program.
does anyone know if this is a sign of bad memory? haven't seen it before, but there's always a first time...

with 32 or 64 mb of RAM it is a common problem. with 256 mb of RAM and nothing on in the background... something else is going on.
