Joe,

Do you have any other apps running ie anti-virsu stuff? have you tried running with no shutdown sounds?.
Or maybe try the logging system MS recomends;
To create a current Startup log file

Click Start, and then click Shut Down.
In the drop-down list, click Shut down, and then click OK.
If your computer doesn't automatically shut off, turn it off.
Wait 15 seconds, and then turn the computer back on.
While the computer is starting, press and hold the CTRL key.
When the Startup Menu appears, use the UP ARROW and DOWN ARROW keys to select Logged (\BOOTLOG.TXT), and then press ENTER.
After Windows starts, click Start, click Shut Down, click Restart in the list, and then click OK. This completes a full cycle for the log file.

To check the Startup log file

Click Start, point to Programs, point to Accessories, and then click Notepad or use another text editor to open the Bootlog.prv file. This file is located in the root folder of your hard disk (usually, C:\).
Look for "Terminate=" entries. These entries, located at the bottom of the file, might provide clues to the cause of the problem.

If a process started by a "Terminate=" entry was completed successfully, the file contains a matching "EndTerminate=" entry.
Note

If you don't see Bootlog.prv in the root folder of your hard disk, your computer might be configured to hide protected system files. Change this setting, and then open your text editor again.
To display hidden system files

On the Windows desktop, double-click My Computer.
On the Tools menu, click Folder Options.
Click the View tab.
Clear the Hide protected operating system files check box, and click Yes when you are asked to confirm this action.
Click OK.

If the last line in the Bootlog.prv file is one of those shown in the following table, the problem might be due to the cause shown beside it.

Last line Possible cause
Terminate=Query Drivers Memory manager problem. You might have defective memory chips or damaged files. You might need to reinstall Windows.
Terminate=Reset Display Display problem. Try installing an updated display adapter (video card) driver.
Terminate=RIT Timer-related problems with the sound card or an older mouse driver. Try installing updated drivers for these devices.
Terminate=Win32 An application isn't shutting down properly. Try closing all programs before you shut down Windows.

What I know is.... there's no such thing such as fast shut down in Win ME. The "It is now OK to turn of your computer" message screen always appear before my ATX machine automatically shut down.
