Mickey:

Backup your personal files to a location off the hard drive (preferred), or do not partition or format during the XP install and install XP to a different directory than Windows ME is installed.

If you have more than one partition you can save important things on a partition that the os will not be installed on. If you have a large hard drive...you could make a partition to put xp on-clean and leave all important infor on the winme drive. This method would give you a dual boot so you would choose which os to boot to; winme or xp each time you start up. Since you have winme and if you still have the disk you can buy the upgrade and get a full installation of xp for about half the price...MS's little perk for windows users...
If your want to empty the hard drive and start over; you need a burner to save your important things before you format and install the new os. You can still use the upgrade disk in any situation as long as you provide the winme disk when prompted.
Need more info; please write back. :-)
