Devices fail to load drivers

My PC (Athlon 1ghz processor, 384 mb ram, Maxtor 40gb hard drive, Win ME) has 2 problems that may or may not be related. About 6 months ago it would sometimes fail to boot and show a blue screen with this error message: a driver in \iosubsys folder was corrupted and failed to load or the system was low on memory. This occurred shortly after installing a CenDyne CD-R/RW drive with Nero burning software. I have checked the forums and just about any other info I could find but most refer to Windows 95 and software I don’t have. The problems with Windows 95 were supposedly corrected in Windows 98 and I would expect also in Windows ME. This problem is still present and I have just learned to tolerate it. Starting on 12/13/2002 it started having several devices fail to work. They had yellow exclamation symbols next to the failed devices. I pushed the “update driver” button as suggested but it didn’t help. If I remove the device and restart the PC, the devices will load properly and work okay. One or more of the following devices are the usual effected: modem, sound, USB and sometimes others. I ran a thorough scan disk and it found no problems. Sometimes it does find errors with standard scan disk, usually in FSInfoSector or an invalid date in Outlook Express. I ran up to date NAV and no virus was found. I was hoping some had a similar problem and may have an idea what it causing this. Could it be failing hardware that shows up mostly during boot up, like a weak power supply, faulty RAM, or a failing hard drive? I would appreciate any help someone could offer.
