I bet you are using quick shutdown....
To disable find a file named msconfig.exe
in your windows directory. Run the file
and click advanced. The disable quick
shutdown...what may be happening is in the
process of shutting down your system the
drivers for the hard drive are dumped before
the shutdown is complete. By disabling quick
shutdown, you will buy some time to reach the
end of the process before the drivers are
dumped...yes another bug!...take care....Ross

I you've a networkcard in youre PC (guess you've) and you're connecting to the internet, then you've the TCP /IP protocol also connected to your NIC. Under network panel, give the tcp/ip protocol an IP number and subnet mask.

This 'll do the trick. Works for 95 and 98.
Also have a look at http://support.microsoft.com/support/kb/articles/q159/8/82.asp

Try turning down CD-ROM caching. To do this right click on MY COMPUTER, click on the PERFORMANCE tab, then click on FILE SYSTEM button then click on the CD-ROM tab and move the slider bar for SUPPLEMENTAL CACHE SIZE to SMALL. This will not affect the performance of your CD-ROM. Hope this helps.

Go to support.microsoft.com/support, under knowledge base search for "Q238096, How to troubleshoot Windows 98 SE Shutdown Problems", Look at Plug and Play Bios and try it. I found that the computer will reboot once the "Bios.vxd" was renamed to "Bios.old". If it does work, its a bios problem.
