Are you using Windows 98 Second Edition, if so, go to Start Menu and choose Windows Update, you should find a patch that will fix this problem.

Your wording would suggest that Windows is having difficulty closing a program not properly closed before shuting down.

In performing a proper shut down, you should close all open programs and then go to Start, Shut Down, Shut Down and then the OK button.

If this information does not seem to be correct then when you are ready to shut down hit ctrl+alt+delete to see what is still running besides the expected things such as Explorer, System tray and your AV software.

HTH

On a side note: I am using Win98 with AT case and it powers off by itself after seeing the, it is now safe...

Shutdown problems in Windows 9x can be caused by many factors including, but not limited to: a damaged exit sound file; incorrectly configured or damaged hardware; conflicting programs, or an incompatible, damaged, or conflicting device driver, AV programs e.g. AutoProtect enabled in Norton AV etc.etc.

Try this may be it works for you. In registry, go to this key: HKEY_CURRENT_USER\Control Panel\Desktop and create a new String Value named: AutoEndTasks (type exactly in same) and give it a value of 1. This one tells any programs that hang when windows is shutting down to automatically shutdown!

Further, click the link and read the articles from MKB:Windows 98 Shutdown Articles.

Hope this helps. NQ

PS: Make sure you make backup of your system's registry before making any changes to it.
