Windows Protection Error

Asus P4B533-E Motherboard
P4 2.40b
512md DDR
Windows 98

When booting windows 98 I get the message "While Initializing Device NDIS:Windows protection error. You need to restart computer" I can bypass this by removing NDIS.vxd from c:\windows\system or diableing the network adapter from the device manager. Microsoft has a fix for this problem but I can't afford any more of there tech support. if anyone has this fix please share it with me. Thanks in advance.
