Comment:
I've installed Windows98 2nd edition and since then I have not been able to shut down my computer. It just hangs at 'Waiting to shut down win98' and does nothing. AlsoI can't Restart into MS-Dos mode. All I get is a little horz. slash at the top left of screen. Everthing works ok on my computer when in win98. Please help, help, help!!! Thanks to all. Brandon

Windows is probably hanging on a program that it can't exit when you shut down. Try rebooting the computer, once you're at the desktop press CTRL+ALT+DEL. That will open the CLOSE PROGRAM box. From here you'll just have to experiment with closing a program and shutting down the machine until you find the program that's giving you problems.
Good luck!

Also, try running scan disk if you haven't already. Sometimes this will fix problems when windows does not shutdown properly.

this problem can be solved if you assing an IRQ to your video Card go to the CMOS of your PC and look for that option... it should read " assing IRQ to VGA " or something similar

I am having a similar problem. I recently upgraded from Windows 95 to Windows 98 and during shutdown, it completely locks up and cntrl+alt+del doesn't do anything. If you have found where this download is located, please let me know.
