The NTLDR file is used to coordinate the system's startup procedure. First it switches the processor into 32-bit protected mode (essential for the OS) and the locates the file responsible for the boot process.
Is it win XP pro or Home? Upgrade or full?
There should be no problem upgrading to either XP or 2000 from win98. Within 98 lauch the Setup utility (XP or 2000), it will ask if you want to upgrade. Choose yes.
When 2000 installs it can partition anfd format. If installed on an unpartitioned HD it will prompt you to do so. Also XP and 2000 support a different (and better) means of partitioning and formating than FAT32 (or FAT16).
I don't know if any of this will help...but GOOD LUCK!

Yes when you first turn on the computer you want to get into bios to see if the cdrom is looked at first before the harddrive. To get in it usually says press a key to enter where it may be f2 f1 f8 or esc. You want the boot sequence to be cdrom then harddrive. After this when you insert the 2000 or xp cd it should prompt you to hit any key to boot from cd, then you are on your way.
