its a file used when upgrading from windows 3.1 to windows 9x
in windows 3.1 u have the group manager, that program converts the group icons onto the programs list on the start menu.
i wouldnt worry your self with it, its not important or anything.
the -0 bit is just a setting, it probably means to convert all group icons or something. im not entirely sure.

It tried to register in the start menu but I blocked it.

i wouldnt bother deleting it, surely its only a few hundred KBs.
why are you wondering about this program? is it running each time your computer starts up? if so just edit the system config to stop it running at bootup.

Do not delete it and let it run. It is often entered into the runonce registry area when installing a program or running an update to Windows, critical or otherwise as in the MS flavor from Windows Update site.
Which tells me that it is still being used in 98 despite being a 3.1 holdover as pegged. I'm also not sure what the -0 switch is good for, but I've seen it often in 98.
