seems like theres a program that you run every now and then in the background of another program, a firewall, or sheild, or winmx, messenger,... try 'Security Task Manager' for xp proccess, if 98 (here), try memload , to see whats running before shutdown, if hidden window,right click on taskbar and select tile windows, also try safe mode to disable any non windows programs and shutdown/restart to check..:)
