GTA 3 is well known for being laggy no matter what. The system requirements for the game are actually incredibly low for what they really should be. Some things that you might try is getting better hardware. Your software really isn't that much of an issue. What are your processor speed, memory and video card specs?

There are no programs that I know of; but I would really suggest that you have at least 128mb memory and a 32mb video card. As for programs, I would just try to free up some resources while your playing the game. Try to keep as few programs as possible running in the background while you're playing the game. I guess one program you could try is Iarsn TaskInfo 2003. It's basically an advanced task manager for win98, that shows which processes are running and how much cpu/memory they're taking up.

64mb RAM is way too little these days, & since you have onboard graphics, it stills it's memory from the system RAM. If, for example, you have the graphics set to use 8mb RAM, that means you only have 56mb left for the rest of your system to use.

How many icons do you have next to the clock? Make sure you need what's there. Personally, I have 3...volume, anti-v, hardware monitor...everything else has been removed. You don't need things like Nero, AOL, AOL messenger, Yahoo messenger, etc loading at startup. Have you run MSCONFIG & stopped unnecessary programs from loading into memory?

Do you regularly run a spyware remover such as Adaware SE, or Spybot - Search & Destroy v1.3?

You are luckey you have got the game running at all on that machine.

IF your mobo has an AGP port, try and get a video card. Some, any video card is better than none at all. ANYTHING. Even a 16MB.
AND up your ram to ATLEAST 128, ideally more.
if your board allows it over clock your CPU. You might get 50-100MHz extra out of it if you cool it well. (jam is the expert on this one, ask him!)

ELSE: simply buy a new machine if you have the cash.
ELSE: pick some other game that you can play on your current hardware. :D

GTA3 needs a pretty decent video card. An onboard video adapter isn't going to do the job.
