Under windows 98(1st ed)
From my desktop or any drive/folderwindow, right click, then pop-up menu appears, hold cursor over 'New' then explorer error!

I have tried repair tool for Internet Explorer 5.5, and tried reverting to pervious internet explorer - both dont work.

That's MS Explorer not Internet Explorer.
Try a Win98 reinstall

I have Win98 clean installed, so how do i reinstall it? without formatting!

Just like a clean install, only without the format. You won't lose anything.

Just to make this clear before i do it, i just stick in the win98 CD, and install again, under windows? or from startup?
