Are you trying to flash your BIOS from windows? I wouldn't recommend doing that.

Yeah, with windows running put a blank floppy disk in the floppy drive and on the run line type:
sys a:
and enter. This will make the disk bootable but won't load any drivers the way a regular bootdisk does. Boot the computer with that disk and upgrade the bios in the normal manner.

Boot off any Windows startup floppy, choose the last option (I think it's minimal boot?), that will bring you to the A: prompt. At this point, remove the boot floppy & replace it with a floppy containing the new BIOS & the flash utility. At the A: prompt, type in the name of the flash utility (without the .exe) & hit ENTER, then just follow the instructions.

Unless the standard bootdisk has been modified, the last option, 'start computer without cdrom support', still loads himem.sys.
I noticed you've got win 2000. I'm not sure about their bootdisks but to upgrade the bios, the disk you boot from doesn't need to be the same as the OS that's on the hard drive. That's because the HD is not accessed when upgrading the bios from a floppy disk. You could even use dos 6.22 to do it.
