Do you start your installation in Dos mode ? (reboot & then hit F8 key to choose "Command prompt only") ?? If not, do it that way. And when it will ask you in which folder you want to install it ( i think, by default, it suggest WINDOWS.000) just choose the other option which is C:/WINDOWS.

Assi, MOST Win98 SE CD's were not meant to upgrade from Win98 First Edition. The work-around for this is to rename win.com to something like win.old, then install SE, making sure to redirect setup to C:\Windows, rather than the default C:\Windows.000, as mentioned by Doc.
I have upgraded this way, without losing any data or settings, but backing up important data is never a BAD idea.

try using the setup switch that tells windows not to look to see what version windows you have on your harddrive. try this link for all the switches you can use.
