I have the exact same problem as Jonathan Zhang. I am running win98 with amd k6-2 400 mhz, turbo guide motherboard, graphics blaster pci vid card...I am to frusterated:( HELP ME WITH "A fatal exception OE has occurred at 0028:c0005338 in VxDVMM(01)+00000 4338"

when does the error occur? is it random, at boot, on the net, with specific programs, etc...?
have you installed any new hardware?
some more info would help.

you could check your RAM to make sure it's seated properly.

I too have this fatal exception. It is interesting that the 3 of us are using AMD processor (450 Mhz in my case). I have sent an email to the AMD tech support group. I will keep you posted....

Seems to be random. I came back to it with screen saver on the other day, moved mouse and while system was attempting to exit screen saver it happened. Also happens on boot when desktop first appears. I just set up new system. so all hardware is new. Using Turbo Guide motherboard, riva tnt graphics blaster, soundblaster 16, moterola modem. When i set up system i had it clocked at 300 mhz and didn't seem to have problem. Clocked it up to 400 and now have this intermittant problem...may only be coincidence. Thanks I will check the RAM for proper seat.

More info....when failure happens on boot when desktop appears. The only way to clear the fault is a cold boot. Warm boot recycles same problem over and over. Thanks

are you running 100MHz bus speed? if so, are you using memory that will run at that speed (i.e. PC100 SDRAM)?

I get the fatal error VXDVMM01 also. i just set up a new Gateway computer with Athlon 600 mhz and I run Windows 98. when I try to log onto MSN I often get the fatal error. No one at tech support seems to be able to help. I am sort of a computer novice, but have carefully checked my drivers and connections etc. Is this error to do with the monitor or the modem or what? sorry for asking DUMMM questions!

I get the same msg when i boot the pc, IntelP500, after installing a NetCard.
It seems without problems pressing any key, only slower.

I have the same sort of problem. I have an Athlon 600, with Voodoo 3 3000, Videologic Sonic Vortex 2 and 64Mb RAM. It's a Packard Bell system. When I boot, as the desktop first appears, I get a fatal exception. Is this a problem endemic to AMD processors? I know the Athlon is the best chip, but if this is the cost of performance, what's going on? Just blame it on Gates.

The error does not seem to affect anyhting adversely after it has happened. I haven't farked around with and of my clock speeds.

I also get this error - "fatal exception OE has occured at 0028:C0005338 in VXD VMM(01) + 00004338" I have run win98 on this system for about 10 months with no problem. Then it started coming up once in a while along with frequent lockups and programs that would drop out. I have reloaded win98 several times, along with fdisk and reformatting the hard drive. I have stripped the system down to a Tyan trinity motherboard, Maxtor 8.4G HD, AMD K6-2 450, 64M PC100 ram, VGA video card, floppy drive, and Digital Research 50x CDROM. I get this error every time I reload win98 at the end of the install with about 9 minutes left. I have swapped video cards and hard drives with no effect.

I got them too!
Think about Joe Cocker (no really!): hot town, summer in the city: this error occurs when your cpu gets overheated. Try a program like 'Rain' or 'Waterfall'
I found them on www.bergetti.com, then click on the upper right hand corner: 'our favorites' (with hardware monitor pro(=tool on that same site) you can see your cpu temp)

This is not an overheating problem.

There are two solutions:
1. Disable external cache
2. Increase core voltage from 2.2v to 2.3v

IAM HAVING TROBBLE WITH CMDL 32.DLL AT 0167:bff 769A6. when ever i try to do anything the error will pop up and i can't get it to go away. then my p.c. just freezes up and i have to shut it down by turning it off by the off and on button. MSN can't or wont help me EMACHINES said its not the p.c so what is it and how can i get it fix? i have try for help with out aid , i don't know where to go or who to talk with i'm new at this and this is a new p.c. 3mouths old.

I have an AMD K2 500 and this problem with the same fatal error arrives at random. All the hardwre is OK with no conflicts. I have upgraded from a cyrix chip and prior to this had no problem. The internal fans (2) are OK so I would not think I have an isue there.
The problem goes away for a while by banging on the space bar. BUT I would like a solution. What is VXD VMM(01) *00004338 as this is where the fatal error is occurring.

Thanks if you can add some more.

Does AMD have a chip problem ????

Just for the record, my fatal exception is located at:
0028:C10C8C9E in VXD eapci(01) + 00039F9E
which doesn't really mean much to me other than it appears to be "some" memory location.
By the way, this "memory location" changes each time the fatal exception occurs. I know this because I write that error down almost each time it happens...IF I feel like it.

After reading all of the previous posts to this site, I'm reporting that it ALSO happens with Intel chips too. I'm running 95, P133 & 64 megs of ram. Mine happens when I'm on the net playing roulette (for free) for instance.
It will work for about 10 minutes and then out of the blue, I get the infamous blue screen and then comes the end of my browser.

Here's my thought on the possible problem. 1) Since it doesn't just happen with AMD chips, it would be safe to say it's not just a chip specific problem.
2) Since it happens to 98 as well as 95, it IS common to those 2 operating systems.
3) Since it was reported that it has happened during loading of some users desktop as well as at random, then its also safe to assume that it's not specific to the usage of a specific browser.
4) It wouldn't seem likely to be a ram problem, however, it a user has too many applications that load during bootup (indicated by alot of small icons in the system tray) that would be using up too much system resources and might be the cause, especially if the user has too little ram, say 32 megs or less. Mine happens even with 64 megs...so a "ram" specific problem is even questionable.
5) I think my problem may be due to the use of a Java application. It is my understanding that Java by nature when it loads, reserves (locks in) a certain amount of memory to be able to handle the use of many different types of variables of which each different type needs to have memory reserved for its use. Once a Java application has loaded, the memory it has set aside for use will remain unavailable for other use until the system is shutdown. Simply shutting down your browser will not release this memory, it will remain in this status during the current windows session.
6) It would seem to point to an operating system problem in which case there may be a patch available from Microsoft to fix the problem. I'm not sure since I haven't checked into that yet. If I do find out anything, I will repost here again.
