How can I change windows directory without new installation?
When I change windows directory's name I got uppon restart: "win.com" not found.
How can I tell the system to search it in a new directory?

I've never done it but I think you should be able to change the windows directory by modifying msdos.sys. here's what it normally looks like;

[Paths]
WinDir=C:\WINDOWS
WinBootDir=C:\WINDOWS
HostWinBootDrv=C

why are you trying the change the directory to begin with?
the registry is full of references

Absolutely, there are so many different references that you will never get them all straight by hand. If you want to change it the reinstall it and change it during the setup.
