My CD Rom will not read CD's, My CD Rom Driver has a exclamation mark next to it, what does this mean and how can I fix the problem? because the cd rom will not read CD's

It might have just been some glitch or other. Right click My Computer/Properties and go to Device manager. Double click "CDROM" then Remove the sub-entry for your CD-ROM and reboot.
If this doesn't fix it and it happened recently then Restart in MS-DOS and type scanreg /restore (hit Return key). Select an entry dated just before the problem came along.

Jharv5 - when you say the CD-ROM won't read CD's, that implies several problems: (1) the computer doesn't "see" the CD-ROM, therefore it can't read anything; or (2) the CD-ROM can't read the "type" of CD you are using. In situation #1, is the D drive listed under My Computer? If not, you may have a bad drive or the cable/jumper needs to be re-attached. In situation #2, does the drive attempt to read the CD but never opens it? Some older CD-ROM drives simply can't read a 700MB CD-RW disk. Will your drive read a simple kid's game CD like "Playschool"? You can pick up a good used cheap drive at your local computer repair store and see if it works better than your current drive.
