Azza KT133TX Sound & Modem IRQ Conflict

Recently purchased a system with an Azza KT133TX MB with built-in Sound & Modem, and no software installed. I installed W98 (a couple of times, I'm out of practice) and I have one main problem. The sound works fine until I try to dial-up -- once the modem is "initialized", the sound is gone. There is no "error", just no output. I looked into it a bit: they are using the same IRQ. I tried old methods (read: Win95 from two years ago) of resolving this, which didn't work (Only one "Basic Configuration"; changing BIOS "ISA/PCI PNP" to "ISA Legacy" only made BOTH of them "move" to IRQ 11. What's going on? Can I fix it? If I install a new sound card (SB Live) and modem (ZOOM 56k), will this problem go away? Help!
