how to create password on shutdown system

Can you explain a little more clearly, fully what you want?

I assume guddoo wants to require a password to shut down their server.

If they have physical access then it's pointless to try as they can just hard-reset it. You can use a GPO to disable the buttons but it won't stop people from using shutdown.exe or just pulling the plug. Tony
