upgrading to win '98

I have windows '95 in my computer now. I have a win 98 CD. On it it says "for pc's without windows". It also says it is for a new PC only.
Is there a way I can use this CD(win '98)to download over my win '95??? Or will I have to "unistall win '95??
Actually... I tried to download it over my win '95 and it said I need to have the "updated version of win ;98 to complete this. Is there a way I can still use this CD. Maybe I have to :unistall my win '95???
Please advise,

1)This is a win3.1 forum
2)Yes you must unistall win95
in order to upgrade from this CD
