Assuming that all of your hardware is compatible with Win 2003 server; perform a full backup of xp pro just in case something bad happens, use the backup program to backup all of the folders and files using the backup program in XP pro, backup this up to another storage device.
You will need another partition for 2003 and you will also need to specify which partition to install it onto.

You might need to edit the boot file or if you use grub or partiton magic boot loader to get XP back as a dual boot. Sure wouldn't hurt to have a data backup and a backup of the MBR too.

No you will not need to reinstall Xp. Just be sure to tell 2003's setup to install onto the d: drive.
