Hi!
My company is planning to upgrade or replace our windows 2000 servers(advanced server) which is our dc and exchange server (2003) to/with windows 2003.
what effect will this (upgrade/replacement) have on our active directory? or should i rather install w2k3 on a new machine and promote it to dc? will w2k3 replicate the ad with other w2k dc without problems?

You'll need to read up on this a bit. It is recommended but not required that the first DC running w2k3 be a fresh install. If you will be installing a w2k3 dc into an existing win2000 domain there are a few procedures you will need to perform - domain prep and forest prep. It's not a big deal but it is required. After that it will go pretty smoothly and yes, it will replicate to other w2k DCs.
Good luck.
