Problem with NIC or Drivers

This server has Exchange 2003 installed on it. I first got a message from user about Outlook not working. After further troubleshooting I found out:
1. The Exchange Server could not contact the DC even though when netstat is used I can see multiple connection between the DC and this server.
2. In network connections the nic is not displayed and it hangs after a while. But when I unplug the network cable from the server and reboot the nic show in network connections.
