NT 4 to 2003 Migration

Anybody ever have this problem? I have an NT PDC with SP6a, BDC with Exchange 5.5 latest service packs for exchange and SP6a. I have a NEW 2003 St Edition server and am attempting a migration to AD with 2003 along with eventually upgrading to Exchange 2003. I have done migrations before but not had an issue creating the trust between NT and 2003 servers. Without the trusts created I can browse each domain from the other as long as I enter a admin name and password. When attempting to create a trust from NT to 2003 I get an access denied error. When creating the trust from 2003 to NT it appears to create it but it is not complete w/o the NT trust. Even after the 2003 2 way trust the NT trust still shows access denied error. Also once the 2way trust is created I can't browse domains and get a error " the trust relationship between the primary domain and trusted domain failed". Here's a nice twist, I can't connect to the NT domain from 2003 AD, BUT if I edit the default domain policy on the 2003 server I can add users from my NT domain!! ANY THOUGHTS????

IS the 2003 server a DC? and are you a enterprise admin on the 2003 forest ?

Yes, it's the first DC in a new forest and no user accounts setup yet, been using the admin account all this time. The issue seems to be on the NT side though with the trust created from USer Manager on the NT PDC giving me the access denied error. If I type a password different from the one used on the 2003 2 way trust it says incorrect password, so it is connecting, but when the correct password is used I get the error Access Denied.
