I've MS ISA 2006 and MS Exchange 2003. I point my MX record to MS ISA. My intention was, WAN user will not sending email directly to MS Exchange. What I;m supposed to do was, email will reach MS ISA first and then it will forward it to MS Exchange. how can I do that and what possibly rules shall I configure

Just set ISA so that all traffic coming in on port 25 is allowed and gets forwarded to the IP address of the Exchange server. Security configuration to prevent things such as open relays will be done from within the Exchange server. The best method is using two virtual SMTP servers, one for local delivery and one for authenticated relay. You will want to forward the mail to the IP of the interface for the virtual SMTP server that accepts local delivery.

Is this your first server that is accessible to internet?

You have to create a "Server publishing rule". From there it is not too much different from forwarding a port through a router or firewall.
