lsass.exe shutting down

OS: Windows Server 2003 Web
CPU/Ram: Athlon 3200+/448 MB

I've gotten this error twice already. It spontaneously says that Windows is shutting down in 1 minute and to save my stuff. When it restarts, it says that Isass.exe unexpectedly terminated, and it gives me these files where problems occurred:

C:\WINDOWS\system32\LogFiles\ShutDown\ShutDown_20050602113346.xml
C:\DOCUME~1\ADMINI~1\LOCALS~1\Temp\WER9.tmp.dir00\sysdata.xml

C:\DOCUME~1\ADMINI~1\LOCALS~1\Temp\WERA.tmp.dir00\lsass.exe.mdmp
C:\DOCUME~1\ADMINI~1\LOCALS~1\Temp\WERA.tmp.dir00\appcompat.txt

Is this a virus? a corrupt file? A one-time freak accident? Should I worry about this?

Yes i think u should worry about it.U olso should do some scanning to ur system.See if some unwanted applications has been hookup in ur system
