1)i have converted workgroup into domain model(30 systems), how to restrict internet access in clients, should restrict some sites, so whats the procedure? 2) i have 6 folders, which should be available to all clients but it should be read-only file, they should not perform any updations, so what should i do? My view) planning to create a home folder will this work? 3) how to restrict usb & cd restrictions?

Proxy server maybe along with a good firewall.
Use ntfs permissions to restrict access.
Can't in this version unless you use epoxy.
