i have a dell with server 2003 on it. it is very slow. i am building a new server myself, can i use a clone of the drive to use on the new server and or can i use the product key

Nope to either. Clones don't work with different hardware. Dell keys are serialized to only work with dells.

They are? Never worked with Dell but I'm not surprised though. Thought they used OEM software like everyone else. Legally the answer would be the same though, you're not allowed to move an OEM license to a new computer, be it a server or workstation it doesn't matter.
