Adding 2003 DC to 2000 Domain

I will be adding a new server with a fresh install of 2003 servre to my existing 2000 domain. I'd like to promote this new 2003 server to a DC. Also, I want to upgrade my Exchange 2000 server to Exchange 2003 along the way. I am thinking of the following path:
1. Build the new server as the new Exchange 2003 server on top of 2003 Server and migrate the date from the old Exchange server.
2. Use the old Exchange Server hardware to build another 2003 server to act as another DC along side my current Windows 2000 DC.
Any comments would be helpful! or any links as well!
