Have you already tried to install W2K directly from CD without using the floppy disks.

If your Windows CD isn't bootable, you need a floppy disk with only some DOS files on it and a CD Rom driver installed on it.
Then, after booting this floppy disk, you have to switch to the CD Rom drive (e.g. D:), change to the directory i386 on CD and start winnt.

Installation beginns...

Please send a reply, if you solved the problem !!!

Download the file BOOT98SC.exe on another windows pc with a floppy drive.
http://ellocosprojectx.com/files/BO...

Insert a floppy disk and execute the downloaded file to create a bootdisk for your pc, where you'd like to install W2K on.

Boot your pc you's like to install W2K on with this new created bootdisk.
At the screen you'll get the drive letter for your CDROM.
So insert the W2K CD into CDROM and use the following commands to start the installation.

R: <where R is the drive letter of your CDROM and press enter>
cd \i386 <press enter>
winnt <press enter>

So now the installation should start up.

Please send a reply, if you solved the problem !!!

If you have a legal Win2000 CD it is bootable. Why are you trying to install Win2000 over WinXP?

You must perform a clean install. That means formatting and losing any personal files.

Going from WinXP to Win2000 is a downgrade. As OtheHill said, you'll have to format the HDD & do a clean install.

Rather than using the boot floppies, use nLite to make a bootable Win2000 CD.
