I started to go into this long stink about what this could be, but suffice it to say you need to replace the file in question, which you failed to name. Otherwise you need to re-install. If re-installation of the OS fails, then your hard drive is probably trash. Disk repair/checking software would come in handy right about now too.

Actually, this error message could very well be caused by a bad boot.ini file. Can you boot to the recovery console? You should be able to boot from the original CD and get there. From there, you should be able to look at the boot.ini file and see if it's correct. Did you add any hardware or change partitions at all?

I have the same problem, and i know what the problem is. The problem is that the file C:\Winnt\System32\Config\Software is corrupted, what you can do is: (if you have made a backup ofcourse) goto c:\winnt\repair\ .. you will see there a couple of files, one of them is software.
rename c:\winnt\system32\config\software into software.bak and copy these from repair folder. So.. now you can boot up normally.. If you did't make a actually backup, you must re-install your software
