Services.exe and MsTask.exe CPU time

Hi, hope somebody can help me with this.
Over the last week or so when I boot up my pc it goes really slow. Looking at the task manager tells me that SERVICES.exe is taking up 99% of CPU time, making the system unusable. After rebooting the problem sometimes reproduces itself with MsTask.exe taking up all CPU time. I've noticed that if the network cable is unplugged I can boot normally, then plug the cable back in and operate normally. Am I been attacked? or is something else going on "behind the scenes"? Is W2K doing all this of it's own accord or is someone just trying to engage my machine permanently?
Someone please help as this problem is driving me crazy.

What else has been there in the server ?? I mean applications. If patches are available , please install fro the respective applications. and also of win 2k
