Do you have another server running Windows 2000? If so just replace the services.exe in your %systemroot% (c:\winnt\system32). Let me know if this helps; I have a few other ideas.

I've got the same problem and can't replace c:\winnt\system32\services.exe because the file is in use by a ton of other processes.

Any suggestions?
