Problem w/ Dos TSR loading in W2K

I have a Dos program that monitors the serial port COM1 for incoming data (from a Telephone PBX). It loads as a TSR, and runs in a Virtual Dos Window.
In Win2k I have trouble loading the program; it bombs out (without an error message) about 4 out of 5 attempts. However, when it does load it works fine.
2 Questions:
1. How can I get this program to load properly? Do I need to edit my Config.nt or Autoexec.nt files?
2. Can I get this Virtual Dos Window to appear as an icon in the System Tray, and not on the Taskbar? When visible on the Taskbar my staff has a tendency to close it.
