Periodic slowing down

I have Athlon XP 1700+ with 128 MB RAM on Chaintech 7VJDA. Have WIN 2k with SP3. Everything ran smoothly until I pluged in REPOTEC PCI ethernet card (RP-1651W with Winbond chip).
Now, when I am downloading or uploading anything, system periodicaly slows down (period 15-30 sec) that even mp3 playing stops. Really annoying.
Win 2k REPOTEC card recognized as Winbond W89C940 and I can do nothing about it, because there are no Win 2k drivers for REPOTEC card. Updating drivers of Winbond didn't help.
