NTOSKRNL.EXE KMode Exception Not Handled

hi, 10% of the time when I do a reboot I get the blue screen saying ntoskrnl.exe
Kmode Exception not Handled.

Can someone direct me on why this occurs and how to fix it? Isn't it something regarding two files trying to access the same block of mem? I'm really not sure..

Do you have any Adaptec burning software installed like Easy Cd and/or CD Direct?

Yes.

I have Direct CD and Easy CD Creator.
Both the latest Versions with the latest updates for Win2000.

Direct CD is not listed in StartUp or not specified to load automatically with Windows. Nor is it in the boot files.
I run it manually when I get into windows.

It does not have to be listed in StartUp to cause your problem. Just to make sure: I have Easy CD Creator version 4.02e (310) and Direct CD version 3.01d and those seem to work. If you are not absolutely sure you could uninstall those two and see whether your problem is solved. I got the same problem with other packet writing software like Direct CD (I think it was WinonCD, not sure) and it also caused the BSOD.
Anyway I prefer Nero (version 5.0.2.8), which works great.

Those are the versions I am running.
One suggestion I notice at that blue screen is to check to see if you have adequate disk space. Now I know I have Adequate Disk Space. 13gigs left to be exact. But there is
a consistent problem I face when Trying to convert .mp3 files to .wav format. When I specify my C: Drive (13 gig remaining) it says there is not enough disk space to perform that option. I have tried converting with Media Wizard 5.0, SoundForge, WinAmp and Xing Mp3. I don't know why i receive that error. Maybe it is
related? the only way I can rip MP3 files into Wav format is to decode them to Wav to my D: Drive which is very very small.

Did you check the size of your temporary files?

For example, if it is set to c:\windows\temp, do you have enough space on c:

If you want to change your temp, put in autoexec.bat:

set temp=d:\temp
set tmp=d:\temp

Oh, sorry, in W2K, you set environmentals under system properties. I would suggest just changing the User Variables and set TEMP and TMP to another drive with more space.
